1ABOUT THIS POLICY

This Privacy Policy explains how Vercidium Pty Ltd ABN 19 651 128 460 (Vercidium, we or us) handles personal information when you use our websites at vercidium.com and vercidium.com/audio (the Website), purchase or use Vercidium Audio, or otherwise deal with us. Vercidium is the controller of that personal information.

We handle personal information in accordance with the Australian Privacy Principles (APPs) under the Privacy Act 1988 (Cth) and, where they apply to you, the EU General Data Protection Regulation (GDPR), the UK GDPR and the California Consumer Privacy Act (CCPA). Information specific to the EU/EEA, the UK and California is set out under "Your rights and choices" and "Contact us" below.

This policy should be read with our Website Terms of Use and, if you license Vercidium Audio, the EULA and any applicable Additional Terms. You can contact us about privacy at [email protected].

2INFORMATION WE COLLECT

You give us personal information:

when you buy a licence at our checkout: your name and/or entity name, email address, billing address, tax or business registration number, and the title of the game or application you are licensing;

when you contact us or request support: your name, email address and the content of your message; and

if you subscribe to updates or a newsletter: your name and email address.

We collect automatically when you use the Website:

technical and usage data, including your IP address, device, browser and operating system type, the pages you view, and access logs; and

information from cookies and analytics tools (see "Cookies and analytics" below).

We receive from others:

our payment processor confirms whether your payment succeeded (we do not receive your full card details); and

our payment processor provides the information you submit to our payment processor's platform in connection with making a purchase on our website.

We do not seek sensitive information, and ask that you do not send it to us.

3HOW WE USE PERSONAL INFORMATION

We use personal information to:

operate, secure and improve the Website and Vercidium Audio;

process orders and payments, deliver licences and downloads, and issue receipts and tax invoices;

provide support and respond to you;

keep records and comply with our tax, accounting and other legal obligations; and

send you product updates or marketing, where you have asked for them or we are otherwise permitted.

EU/UK legal bases. Where the GDPR or UK GDPR applies, we rely on: performing our contract with you (to provide the licences and downloads you order); our legitimate interests in operating, securing and improving our services and communicating with you; your consent (for example, for non-essential cookies or marketing, where required); and compliance with legal obligations (for example, tax records).

4COOKIES AND ANALYTICS

The Website uses cookies and similar technologies, including Cloudflare, to run the site, remember your preferences and understand how it is used.

Where required (including in the EU/EEA and UK), we ask for your consent to non-essential cookies through a cookie banner, and you can change your choices at any time. You can also manage cookies in your browser settings, although some features may not work without them.

5WHEN WE DISCLOSE PERSONAL INFORMATION

We disclose personal information to:

service providers who help us operate, including our payment processor (Stripe), our website host and content-delivery provider (Cloudflare), our analytics providers our email provide (Resend);

our professional advisers, and any party involved in a sale or reorganisation of our business; and

regulators, law enforcement or others where required or permitted by law, or to protect our rights or the safety of others.

We do not sell your personal information.

Third-party platforms. If you interact with us on third-party platforms such as Discord, GitHub, YouTube or Patreon, those platforms handle your information under their own privacy policies, which we do not control. Any Patreon page is separate from Vercidium Audio.

6SENDING INFORMATION OVERSEAS

We are based in Australia. Our service providers may store or process personal information outside your country, including in Canada, the United States, and other locations.

When we send personal information overseas, we take reasonable steps to ensure it is handled consistently with this policy and the APPs. Where the GDPR or UK GDPR applies, transfers outside the EEA or UK are made under an approved safeguard, such as standard contractual clauses, or to a country with an adequacy decision.

7HOW LONG WE KEEP IT

We keep personal information only for as long as we need it for the purposes in this policy, and longer where we are required to for tax, accounting or other legal reasons (financial records are generally kept for around seven years). We then delete or de-identify it.

8HOW WE PROTECT IT

We take reasonable steps to protect personal information from misuse, loss and unauthorised access, modification or disclosure. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.

9YOUR RIGHTS AND CHOICES

Depending on where you live, you may have some or all of these rights: to access your personal information; to have it corrected; to have it deleted; to object to or restrict our use of it; to receive it in a portable form; and to withdraw consent. To exercise a right, email [email protected]. We may need to verify your identity, and some rights have legal limits.

Marketing. If we send marketing or product-update emails, you can opt out at any time using the unsubscribe link or by emailing us. This does not affect service messages such as receipts and important notices.

Australia. You can ask us to access or correct your personal information. If you are not satisfied with how we handle a privacy matter, you can complain to us and then to the Office of the Australian Information Commissioner (OAIC) at oaic.gov.au.

EU/EEA and UK. You have the rights above and can complain to your local data protection authority - in the UK, the Information Commissioner's Office (ICO) at ico.org.uk. Our EU and UK representatives are listed under "Contact us".

California. You may request to know, access, correct and delete your personal information, and you have the right not to be treated differently for exercising your rights. We do not sell your personal information, and we do not share it for cross-context behavioural advertising. You may make a request, including through an authorised agent, by emailing [email protected].

10CHILDREN

The Website and Vercidium Audio are not directed at children. We do not knowingly collect personal information from children under 16 in the EU/EEA and UK, or under 18 elsewhere. If you believe a child has given us personal information, contact us and we will delete it.

11CHANGES TO THIS POLICY

We may update this policy from time to time. The current version is always on the Website, with the "last updated" date at the top. We will notify any material change by reasonable means.
