Vercidium Website Terms of Use

1ABOUT THESE TERMS

1.1These terms of use (Website Terms) govern your access to and use of the website at vercidium.com, including any subdomains, web pages, content and features made available through them (the Website). The Website is operated by Vercidium Pty Ltd ABN 19 651 128 460 (Vercidium).

1.2By accessing or using the Website, you agree to these Website Terms. If you do not agree to them, you must not access or use the Website.

1.3If you access or use the Website on behalf of a business, company or other organisation, you do so on its behalf, you represent that you are authorised to bind it to these Website Terms, and references to "you" include that organisation.

2RELATIONSHIP WITH OTHER VERCIDIUM TERMS

2.1These Website Terms apply to your use of the Website only. The following separate terms apply to the matters they cover and, to the extent of any inconsistency for those matters, prevail over these Website Terms:

(a)your downloading, installation or use of Vercidium Audio and any related software, software development kit, plug-in, library, sample code or documentation is governed by the Vercidium Audio End User Licence Agreement (the EULA) and any applicable Additional Terms (including the Indie Licence Terms and the Studio Licence Terms), and not by these Website Terms;

(b)your use of Vercidium's community spaces, including its Discord servers and its GitHub repositories and issue trackers, is governed by the Community Acceptable Use Policy;

(c)Vercidium's handling of personal information is described in the Privacy Policy; and

(d)any purchase of a licence or other product through the Website is subject to the EULA, the applicable Additional Terms and the terms presented to you at the time of purchase.

2.2The EULA, the Additional Terms, the Community Acceptable Use Policy and the Privacy Policy are available on the Website. Nothing in these Website Terms grants you any right to use Vercidium Audio; any such right arises only under the EULA and the applicable Additional Terms.

3CHANGES TO THE WEBSITE AND THESE TERMS

3.1Vercidium may change, suspend, withdraw or discontinue the Website or any part of it, including any content or feature, at any time and without notice to you.

3.2Vercidium may amend these Website Terms from time to time by publishing the amended terms on the Website. The amended terms take effect when published, and your continued use of the Website after that time constitutes acceptance of them. The date these Website Terms were last updated is shown at the top of this document.

4ELIGIBILITY AND AUTHORITY

4.1You may use the Website only if you are able to form a legally binding contract and your use is not prohibited by any applicable law. The Website is not directed at children.

4.2You are responsible for the equipment, software and internet connection needed to access the Website, and for keeping secure any credentials made available to you for the Website.

5LICENCE TO USE THE WEBSITE

5.1Subject to these Website Terms, Vercidium grants you a limited, non-exclusive, non-transferable and revocable licence to access and view the Website and the Website Content for your own personal or internal business purposes of evaluating, learning about and acquiring Vercidium Audio.

5.2Except as these Website Terms or Vercidium in writing permit, or as a Non-Excludable Right permits, you must not reproduce, copy, distribute, publish, communicate, adapt, frame, mirror or create derivative works from the Website or the Website Content.

5.3All rights not expressly granted to you are reserved by Vercidium and its licensors.

6INTELLECTUAL PROPERTY

6.1The Website and all content made available through it, including text, graphics, images, audio, video, demonstrations, user-interface designs, documentation, code samples displayed on the Website, and the selection and arrangement of that content (together, the Website Content), are owned by Vercidium or its licensors and are protected by intellectual property laws.

6.2"Vercidium" and "Vercidium Audio", and any associated logos and brand features, are trade marks or branding of Vercidium. You must not use them without Vercidium's prior written consent, except to refer accurately to Vercidium or Vercidium Audio.

6.3Software made available for download through the Website is licensed, not sold, and your use of it is governed by the EULA and the applicable Additional Terms. The display of code samples on the Website does not grant you any licence to use Vercidium Audio.

6.4If you provide Vercidium with any feedback, suggestions or ideas about the Website (Feedback), you grant Vercidium a perpetual, irrevocable, worldwide, royalty-free licence to use that Feedback for any purpose, without any obligation to you.

7ACCEPTABLE USE OF THE WEBSITE

7.1You must use the Website only for lawful purposes and in accordance with these Website Terms.

7.2You must not:

(a)use the Website in any way that breaches any applicable law or regulation, or that infringes the rights of any person;

(b)access, or attempt to access, any part of the Website, or any server, system or data, that you are not authorised to access, or circumvent or attempt to circumvent any security or access-control measure;

(c)introduce, or attempt to introduce, any virus, malware or other harmful code, or otherwise interfere with, damage or disrupt the Website or any equipment, network or system on which it is hosted;

(d)use any automated means (including any robot, spider, scraper or crawler) to access, monitor, harvest or copy any part of the Website or the Website Content, except for search-engine indexing conducted in accordance with Vercidium's published instructions;

(e)impose an unreasonable or disproportionately large load on the Website or its infrastructure, or otherwise interfere with its proper working;

(f)reverse engineer, decompile or disassemble any part of the Website, except to the extent this restriction is prohibited by a Non-Excludable Right; or

(g)use the Website to transmit any unlawful, infringing, defamatory, harassing or otherwise objectionable material, or to send any unsolicited or unauthorised advertising.

8PURCHASES THROUGH THE WEBSITE

8.1The Website may allow you to purchase a Commercial Licence for Vercidium Audio. Any such purchase is subject to the EULA, the applicable Additional Terms and the terms presented to you at the time of purchase, which together set out the licence granted, the fees, any applicable taxes and any cancellation or refund rights.

8.2Information on the Website about products, licences, features and prices is provided for general information, may change at any time, and does not constitute an offer capable of acceptance. A binding contract for a purchase is formed only as described in the EULA and the applicable Additional Terms.

8.3Payments may be processed by a third-party payment processor, whose terms apply to that processing. Vercidium does not store your full payment card details.

9THIRD-PARTY LINKS, PLATFORMS AND SERVICES

9.1The Website may contain links to, or integrations with, third-party websites, platforms and services, including GitHub, YouTube, Discord, Patreon and payment processors. Those websites, platforms and services are operated by the relevant third parties and are governed by their own terms and privacy policies.

9.2Vercidium provides those links and integrations for convenience only, and does not endorse, and is not responsible for, any third-party website, platform, service or content. Your use of any third-party website, platform or service is at your own risk and is a matter between you and the relevant third party.

9.3Any Patreon or other patronage page operated by Vercidium is separate from Vercidium Audio and from any licence to Vercidium Audio. Supporting Vercidium through any such page does not grant you any right in or to Vercidium Audio.

10DISCLAIMERS

10.1The Website and the Website Content are provided "as is" and "as available". To the maximum extent permitted by law, and subject to clause 11 (Australian Consumer Law), Vercidium does not warrant that the Website will be available, uninterrupted, timely, secure or error-free, that any defect will be corrected, or that the Website or any file available through it is free of viruses or other harmful components.

10.2The Website Content is provided for general information only. It is not professional, legal or technical advice, and you must not rely on it as such. Information about Vercidium Audio, including descriptions, demonstrations, performance, roadmaps and planned features, is indicative only, may change, and does not form part of, or vary, the EULA or any Additional Terms.

10.3While Vercidium takes reasonable care in preparing the Website Content, it does not warrant that the Website Content is accurate, complete or current.

11AUSTRALIAN CONSUMER LAW

11.1Certain rights, guarantees and remedies under the Australian Consumer Law and other laws cannot be excluded, restricted or modified (Non-Excludable Rights). Nothing in these Website Terms excludes, restricts or modifies any Non-Excludable Right, and these Website Terms are subject to any Non-Excludable Right that applies to you.

11.2To the extent that Vercidium is able to limit the remedies available to you for a failure to comply with a guarantee that is a Non-Excludable Right, Vercidium limits its liability for that failure, at its option, to supplying the relevant services again or paying the cost of having them supplied again.

12LIMITATION OF LIABILITY

12.1This clause applies to the maximum extent permitted by law and is subject to clause 11 (Australian Consumer Law).

12.2Vercidium is not liable to you, whether in contract, tort (including negligence), under statute or otherwise, for any loss of profit, revenue, business, goodwill, anticipated savings or opportunity, for any loss or corruption of data, for any business interruption, or for any indirect, special, incidental, consequential or punitive loss, in each case arising out of or in connection with the Website or these Website Terms, however arising and whether or not Vercidium was or should have been aware of the possibility of the loss.

12.3Subject to the rest of this clause, Vercidium's total aggregate liability to you arising out of or in connection with the Website or these Website Terms does not exceed A$100.

12.4You must take reasonable steps to mitigate any loss you suffer in connection with the Website.

13INDEMNITY

13.1You indemnify Vercidium against any loss, damage, cost or expense (including reasonable legal costs) that Vercidium suffers or incurs arising out of or in connection with your breach of these Website Terms, your misuse of the Website, or your breach of any law or any rights of a third party in connection with your use of the Website. Your liability under this indemnity is reduced to the extent that Vercidium's acts or omissions caused or contributed to the relevant loss.

14SUSPENSION AND TERMINATION OF ACCESS

14.1Vercidium may suspend, restrict or terminate your access to the Website (or any part of it) at any time, without notice, including where Vercidium reasonably considers that you have breached these Website Terms or any applicable law, or to protect the Website, its users or Vercidium.

14.2Any clause that by its nature should survive (including clauses on intellectual property, disclaimers, the Australian Consumer Law, limitation of liability, indemnity and governing law) survives any termination of your access, and these Website Terms continue to apply to your past use of the Website.

15PRIVACY

15.1Vercidium collects, uses and discloses personal information in accordance with the Privacy Policy, which is available on the Website and forms part of these Website Terms by reference. By using the Website, you acknowledge the Privacy Policy.

16GENERAL

16.1(Governing law and jurisdiction) These Website Terms are governed by the laws of New South Wales, Australia. You and Vercidium submit to the exclusive jurisdiction of the courts of New South Wales, Australia and the courts hearing appeals from them. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Website Terms.

16.2(Mandatory local law) Nothing in these Website Terms limits any right you have under a mandatory law of your place of residence that applies to you and cannot be excluded by agreement.

16.3(Entire agreement) These Website Terms, together with the documents they refer to, are the entire agreement between you and Vercidium about your use of the Website and supersede any prior representation, arrangement or agreement about that subject.

16.4(Severability) If a provision of these Website Terms is or becomes invalid or unenforceable, it is to be read down to the extent necessary, or otherwise severed, without affecting the remaining provisions.

16.5(No waiver) A failure or delay by Vercidium in exercising a right does not operate as a waiver of that right.

16.6(Assignment) You must not assign or transfer your rights under these Website Terms without Vercidium's prior written consent. Vercidium may assign or novate its rights and obligations under these Website Terms.

16.7(Notices) Vercidium may give you notices through the Website or by using any contact details you provide. You may contact Vercidium using the contact details published on the Website.

16.8(Headings) Headings are for convenience only and do not affect interpretation.

17DEFINITIONS AND INTERPRETATION

17.1In these Website Terms:

(a)Additional Terms means the Indie Licence Terms, the Studio Licence Terms and any other product terms published by Vercidium and incorporated into the EULA from time to time;

(b)Australian Consumer Law means Schedule 2 to the Competition and Consumer Act 2010 (Cth);

(c)Commercial Licence has the meaning given in the EULA;

(d)Community Acceptable Use Policy means Vercidium's acceptable use policy for its community spaces, as updated from time to time and made available on the Website;

(e)EULA has the meaning given in clause 2.1;

(f)Feedback has the meaning given in clause 6.4;

(g)Non-Excludable Right has the meaning given in clause 11.1;

(h)Privacy Policy means Vercidium's privacy policy, as updated from time to time and made available on the Website;

(i)Vercidium Audio means the proprietary raytraced audio software development kit, plug-in and library made available by Vercidium under the brand name "Vercidium Audio";

(j)Website has the meaning given in clause 1.1; and

(k)Website Content has the meaning given in clause 6.1.

17.2In these Website Terms, unless the context requires otherwise:

(a)the singular includes the plural and vice versa;

(b)a reference to a document (including these Website Terms) is to that document as amended or replaced from time to time;

(c)"includes" and "including" are not words of limitation;

(d)a reference to a dollar amount, or to "A$", is to Australian dollars; and

(e)a reference to a statute includes any regulations under it and any amendment or replacement of it.
